Welcome to Prestige Blends! These Terms of Use ("Terms") govern your access to and use of our website, [PrestigeBlends.com] (the "Site"), and the purchase of coffee and coffee accessories available through our dropshipping services. By accessing or using our Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our Site.

1. Acceptance of Terms

By creating an account, making a purchase, or otherwise using our Site, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as any additional terms and conditions that are referenced herein or that may apply to specific sections of the Site or to products and services available through the Site.

2. Changes to Terms

We reserve the right to modify or update these Terms at any time, in our sole discretion. We will notify you of any material changes by posting the new Terms on the Site and updating the "Effective Date" at the top of these Terms. Your continued use of the Site after any such changes constitutes your acceptance of the new Terms.

3. Online Store Terms

  • By agreeing to these Terms of Use, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence and you have given us your consent to allow any of your minor dependents to use this site.

  • You may not use our products for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).

  • You must not transmit any worms or viruses or any code of a destructive nature.

  • A breach or violation of any of the Terms will result in an immediate termination of your Services.

4. Products and Services

  • Product Availability: All products listed on the Site are subject to availability. We reserve the right to limit the sales of our products or services to any person, geographic region, or jurisdiction. We may exercise this right on a case-by-case basis.

  • Product Descriptions: We strive to ensure that all product descriptions, images, and pricing are accurate. However, we do not warrant that product descriptions or other content of the Site is accurate, complete, reliable, current, or error-free. If a product offered by Prestige Blends is not as described, your sole remedy is to return it in unused condition, subject to our Return Policy.

  • Dropshipping Model: Please be aware that Prestige Blends operates on a dropshipping model. This means that products are manufactured and shipped directly from our third-party suppliers, who may be located in Canada or other countries. While we work closely with our suppliers to ensure quality and timely delivery, we are reliant on their operations.

  • Pricing: Prices for our products are subject to change without notice. We reserve the right at any time to modify or discontinue the Service (or any part or content thereof) without notice at any time. We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the Service.

5. Order Acceptance and Cancellation

  • Your receipt of an electronic or other form of order confirmation does not signify our acceptance of your order, nor does it constitute confirmation of our offer to sell. We reserve the right at any time after receipt of your order to accept or decline your order for any reason. We may require additional verifications or information before accepting any order.

  • We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made.

6. Shipping and Delivery

  • Shipping Locations: We ship products from Canada to destinations within Canada and the United States.

  • Shipping Times: Estimated shipping times are provided for your convenience. However, these are estimates only and are not guaranteed. Delays may occur due to factors beyond our control, including but not limited to supplier processing times, customs procedures, weather, and carrier issues.

  • Customs, Duties, and Taxes (USA Orders): For orders shipped to the USA, you, the customer, are responsible for any applicable import duties, customs fees, taxes (including state sales tax if applicable in your state), and brokerage fees that may be levied by the destination country or state. These charges are not included in the product price or shipping cost and are the responsibility of the recipient. We have no control over these charges and cannot predict what they may be.

  • Risk of Loss: The risk of loss and title for items purchased from our Site pass to you upon our delivery to the carrier.

7. Returns and Refunds

Our Return Policy, available at [https://www.prestigeblends.com/return-policy], governs all returns and refunds. By making a purchase on our Site, you agree to the terms of our Return Policy. Please review it carefully, especially regarding perishable items (coffee beans) and cross-border returns.

8. User Accounts

  • If you create an account on our Site, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer. You agree to accept responsibility for all activities that occur under your account or password.

  • We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders in our sole discretion.

9. Intellectual Property

All content on the Site, including text, graphics, logos, images, audio clips, digital downloads, and data compilations, is the property of Prestige Blends or its content suppliers and protected by Canadian, United States, and international copyright laws. The compilation of all content on this Site is the exclusive property of Prestige Blends and protected by Canadian, U.S. and international copyright laws.

10. User Conduct

You agree not to use the Site for any unlawful purpose or in any way that might harm, abuse, or otherwise interfere with the Site's functionality or the experience of other users. Prohibited activities include, but are not limited to:

  • Posting or transmitting any unlawful, threatening, abusive, libelous, defamatory, obscene, vulgar, pornographic, profane, or indecent information of any kind.

  • Engaging in any conduct that would constitute a criminal offense, give rise to civil liability, or otherwise violate any local, provincial, national, or international law.

  • Interfering with the operation of the Site or servers or networks connected to the Site.

11. Disclaimer of Warranties; Limitation of Liability

  • We do not guarantee, represent or warrant that your use of our service will be uninterrupted, timely, secure or error-free.

  • We do not warrant that the results that may be obtained from the use of the service will be accurate or reliable.

  • You agree that from time to time we may remove the service for indefinite periods of time or cancel the service at any time, without notice to you.

  • You expressly agree that your use of, or inability to use, the service is at your sole risk. The service and all products and services delivered to you through the service are (except as expressly stated by us) provided 'as is' and 'as available' for your use, without any representation, warranties or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.

  • In no case shall Prestige Blends, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend and hold harmless Prestige Blends and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.

13. Severability

In the event that any provision of these Terms of Use is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Use, such determination shall not affect the validity and enforceability of any other remaining provisions.

14. Termination

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes. These Terms of Use are effective unless and until terminated by either you or us. You may terminate these Terms of Use at any time by notifying us that you no longer wish to use our Services, or when you cease using our Site. If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Use, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).

15. Entire Agreement

The failure of us to exercise or enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision. These Terms of Use and any policies or operating rules posted by us on this site or in respect to the Service constitutes the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Use). Any ambiguities in the interpretation of these Terms of Use shall not be construed against the drafting party.

16. Governing Law

These Terms of Use and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the Province of Alberta, Canada, and the federal laws of Canada applicable therein, without regard to its conflict of law provisions. For transactions occurring within the United States, relevant federal laws and the laws of the state where the transaction originates (e.g., California for a US-based customer) may also apply.
